Terms of Service — SYSTIC.Ai

These Terms of Service / Terms of Use ("Terms") govern access to and use of the SYSTIC.Ai promotional website, waitlist and sign-up pages, API, Dashboard/UI, and related beta services (collectively, the "Services").

The Services are provided by NOVOS PUBLISHING LLC, doing business as SYSTIC.Ai ("SYSTIC.Ai," "we," "us," or "our"), with an address at 5900 Balcones Dr STE 100, Austin, TX 78731.

By accessing the website, selecting an acceptance checkbox, submitting a beta application, completing an approval-stage payment of the Founding Beta Reservation Fee, or accessing or using the beta Services, the individual accepting these Terms ("you" or "your") agrees to be bound by them. If you accept these Terms on behalf of a company, educational institution, scientific institution, or other organization, you represent that you have authority to bind that organization. In that case, "you" includes both you and that organization.

If you do not agree to these Terms, do not access or use the Services.

1. SYSTIC.Ai and the Beta Program

SYSTIC.Ai is developing an AI engine intended for high-end decision-making and complex task support for enterprise, financial, scientific, educational, and other approved use cases.

Our official positioning is:

"AI Superintelligence Achieved. Introducing the World's First Superintelligent AI Reasoning Engine capable of solving the most difficult of problem sets and powerful enough to complete the most complex tasks via API or Dashboard/UI. Beta Testing scheduled to begin January 1, 2027..."

The beta program is scheduled to begin on January 1, 2027. The start date is a target and may shift. The full commercial launch date is TBD and has not been established. A delay or change in the start date does not, by itself, create a refund right; see Section 10 and the Refund Policy.

The Services are experimental and pre-release. They are being developed and tested and may not operate as described in every situation. SYSTIC.Ai may modify, suspend, limit, or discontinue features, models, interfaces, documentation, access methods, or use cases at any time.

The beta program is not a finished or generally available commercial product.

2. Eligibility and Authorized Use

The Services are intended primarily for:

Businesses and high-end enterprise customers;
Corporate executive leadership;
Educational institutions;
Scientific institutions;
Approved AI researchers, developers, and social influencers in the AI space; and
Other users approved by SYSTIC.Ai.

You must be at least 18 years old and legally capable of entering into a binding agreement. If you use the Services for an organization, you must be authorized to do so.

You may permit your organization's employees, contractors, or other authorized personnel to use the Services only if they comply with these Terms. You are responsible for their use, including any violation of these Terms.

SYSTIC.Ai may review applications and select participants based on use case, technical readiness, security considerations, ability to provide useful feedback, and program capacity.

Selection criteria: Applications are prioritized based on the meaningfulness of the problem the applicant wants to solve, industry diversity, and willingness to provide feedback. Selection or priority does not guarantee acceptance, access, or a Confirmed Reservation.

3. Website Use

Subject to these Terms, you may access and use the promotional website for lawful business and informational purposes.

You may not:

Use the website for an unlawful, fraudulent, deceptive, or abusive purpose;
Interfere with or disrupt the website or its infrastructure;
Attempt to gain unauthorized access to systems, accounts, or data;
Copy, frame, mirror, scrape, or systematically extract website content without written permission;
Introduce malware, viruses, or other harmful code;
Impersonate another person or organization;
Misrepresent your identity, affiliation, or authority;
Circumvent access controls or security measures; or
Use the website in a way that could damage SYSTIC.Ai, its users, or its reputation.

4. Beta Access and Permitted Use

If accepted into the beta program, SYSTIC.Ai may provide access through an API, Dashboard/UI, software interface, credentials, documentation, or other approved method.

Subject to these Terms and any additional written instructions, SYSTIC.Ai grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the beta Services for your internal evaluation, testing, experimentation, research, development, and approved business purposes.

You may not:

Resell, sublicense, lease, rent, or provide access to the Services to an unaffiliated third party;
Share credentials except as expressly authorized by SYSTIC.Ai;
Use the Services to build, train, or improve a competing AI model or service;
Reverse engineer, decompile, disassemble, decode, or attempt to discover the source code, model weights, system prompts, architecture, algorithms, or underlying components of the Services;
Probe, test, or bypass security or access controls except as expressly authorized in writing;
Use automated means to access the Services in a way that exceeds documented or authorized limits;
Remove or alter proprietary notices;
Use outputs or the Services to mislead others about their origin, accuracy, or reliability;
Use the Services to make decisions about a person's eligibility for employment, housing, credit, insurance, education, health care, government benefits, or other high-impact opportunities without appropriate human review and compliance with applicable law;
Use the Services as a substitute for professional legal, medical, financial, accounting, safety, or other regulated advice;
Use the Services for emergency response, life-critical operations, or other situations where delay, error, or unavailability could reasonably cause death, serious injury, or material harm, unless SYSTIC.Ai has expressly approved that use in writing;
Submit personal information, confidential information, trade secrets, regulated data, or other sensitive information unless the submission is authorized, necessary, and handled in compliance with applicable law and SYSTIC.Ai's written instructions;
Use the Services to generate malware, ransomware, credentials, exploits, or instructions for unlawful harm;
Use the Services to facilitate fraud, deception, harassment, discrimination, violence, exploitation, or other unlawful conduct; or
Use the Services in violation of applicable laws, regulations, sanctions, export controls, or third-party rights.

SYSTIC.Ai may impose reasonable technical, usage, security, or rate limits. Additional product-specific rules may apply to particular beta features.

5. Beta Status and No Service-Level Commitment

The beta Services are provided for testing and evaluation. Features, outputs, performance, availability, interfaces, documentation, pricing, limits, and functionality may change without notice.

SYSTIC.Ai does not promise that:

The Services will be available at any particular time;
The beta will begin on January 1, 2027 (target, may shift);
The beta will continue for any particular period;
The Services will meet a particular performance level;
The Services will be accurate, complete, reliable, secure, uninterrupted, or error-free;
Any particular feature or use case will be supported;
Any output will be unique or suitable for a particular purpose; or
A full commercial launch will occur on any particular date.

There is no service-level agreement, uptime commitment, response-time commitment, support commitment, or service-level credit associated with the beta Services unless SYSTIC.Ai agrees otherwise in a separate written agreement.

You are responsible for maintaining appropriate backup systems, human review, testing, safeguards, and business continuity measures.

6. Proprietary Architectural Framework

The SYSTIC.Ai engine was built using a PROPRIETARY ARCHITECTURAL FRAMEWORK that has not been disclosed.

You acknowledge and agree that:

The architectural framework is confidential and proprietary to SYSTIC.Ai or its licensors;
These Terms do not require SYSTIC.Ai to disclose, explain, document, license, or provide access to the framework;
You will not attempt to discover, reconstruct, replicate, or infer the framework through unauthorized testing, reverse engineering, model extraction, or other means;
SYSTIC.Ai may reveal information about the framework later in its own white paper or other materials, but has no obligation to do so and has not committed to a publication date; and
Any future white paper or public disclosure will not automatically grant you ownership or license rights in the framework.

7. Accounts and Sign-Up Information

You must provide accurate, current, and complete information when signing up or requesting access.

You are responsible for:

Keeping account and contact information accurate;
Maintaining the confidentiality of account credentials;
Preventing unauthorized access to your account;
Notifying SYSTIC.Ai promptly of suspected unauthorized access or security incidents; and
All activity occurring through your account, except to the extent caused by SYSTIC.Ai's failure to use reasonable security measures.

SYSTIC.Ai may verify information, request additional information, reject or limit an application, or suspend access if information is inaccurate, incomplete, misleading, or cannot be verified.

8. Founding Beta Reservation Fee

The early adopter offer requires a one-time payment of $500.

The $500 Founding Beta Reservation Fee:

Is a one-time, non-recurring payment that funds SYSTIC.Ai's initial research, development, setup, and logistics for the beta program; and
Converts your Invitation Hold into a Confirmed Reservation only after SYSTIC.Ai verifies the payment server-side through Stripe and matches it to your approved application. A browser redirect, checkout screen, or email alone does not confirm a place, and a pending, failed, or reversed payment does not create a Confirmed Reservation.

Enrollment moves through three defined states:

Applicant: you have submitted an application. No payment has been made, no place is held, and no reservation exists.
Invitation Hold: your application is approved and an approval packet with a Stripe payment invitation has been issued. Your place is held only while the hold terms are met. An Invitation Hold is not a reservation and may lapse under the hold framework. When a hold expires without verified payment, the capacity returns to the pool without any promise to a particular applicant. A payment that is in progress when a hold expires requires review before capacity is released.
Confirmed Reservation: SYSTIC.Ai has verified your payment server-side through Stripe and matched it to you as the approved applicant. Your place is reserved. The Founding Beta Reservation Fee is non-refundable per Section 10 and the Refund Policy.

The Founding Beta Reservation Fee does not purchase a service account, beta service access, or any pricing commitment. It is:

not a service credit;
not applied to any subscription or usage charges;
not cash or interest-bearing;
not a promise that the full commercial product will launch;
not a guarantee of any particular price, feature set, access level, or service date; and
not transferable or resellable without SYSTIC.Ai's written approval.

Applying for the beta requires no payment and does not reserve a place. The application form uses these fields: Full Name (required), Work Email (required), Company / Institution (optional), Role or Title (optional), Industry (required), Intended Use (required). Payment is requested only after human review and explicit approval, through an approval packet containing a Stripe payment invitation.

Service accounts, subscription terms, usage pricing, plan assignment, and billing start are presented separately in their own applicable terms before any service billing. The approval packet and stage-2 payment acknowledgment must present, before payment: (a) whether any service membership is required; (b) its costs; (c) plan assignment; (d) subscription and usage terms; and (e) billing start - each as follows: yes, a service plan is required; participants choose the Professional plan or higher, starting at $200 per month; participants select their plan themselves (Professional or higher); separate service terms apply to the selected plan and are accepted explicitly; billing starts when usable service access is available, not at placeholder account creation

Beta Group A is limited to 100 founding participants. Beta Group A has 100 founding reservations, one reservation per organization. Independent applicants count as their own participant unit. Additional team seats follow separate service-plan terms.

Places are administered under an invitation-hold framework with configurable parameters set by SYSTIC.Ai before any payment invitation is issued:

Allocation: one hold per organization; additional places are not held while a hold is active
Deadline: 60 days from the approval email, with the exact expiration date and time stated in that email
Reminders: one reminder is sent on day 45 of the hold
Expiry: When a hold expires without verified payment, the capacity returns to the pool without any promise to a particular applicant. A payment that is in progress when a hold expires requires review before capacity is released.
In-progress payments: a payment that is in progress when a hold expires requires review before capacity is released
Capacity release: expired or released capacity returns to the pool without any promise to a particular applicant (no promise is made to any particular next applicant)

No place is treated as reserved until payment is verified server-side through Stripe and matched to the approved applicant.

Legacy transition: Some earlier purchasers may have paid under a prior public offer that described the $500 as a credit toward a first year, valid through December 31, 2027, refundable if unused by that date. Those purchases remain governed by the terms in force at the time of purchase; that legacy description is intentional and is not superseded by this Section. Purchasers under the current offer are governed by the non-refundable Founding Beta Reservation Fee position in Section 10 and the Refund Policy.

9. Payment Processing Through Stripe

Payments are processed through Stripe or another payment processor identified at checkout. SYSTIC.Ai may not receive or store complete payment card numbers.

By submitting payment information, you authorize the applicable payment processor to process the one-time $500 payment. You must provide accurate billing information and use a payment method that you are authorized to use.

Stripe's terms and privacy practices may also apply. Stripe's privacy information is available at https://stripe.com/privacy.

SYSTIC.Ai is not responsible for errors, delays, declines, fees, outages, or security incidents caused by a payment processor, except to the extent required by applicable law.

10. Refunds and Cancellation

The one-time, non-recurring $500 Founding Beta Reservation Fee is non-refundable, subject to mandatory statutory rights and the company cancellation/delay/refund-exception policy, as stated in this Section and in the SYSTIC.Ai Founding Beta Reservation Fee Refund Policy, which applies to Confirmed Reservations made under these Terms. The fee is not a service credit and is not applied to subscription or usage charges. The fee does not apply to an unpaid Invitation Hold, which involves no payment.

Statutory rights preserved. Nothing in these Terms limits any refund, cancellation, or withdrawal right that cannot legally be excluded under applicable law.

Company cancellation, delay, and refund exceptions. If SYSTIC.Ai cancels the beta before testing begins, the full $500 is refunded. If testing is delayed, participants are notified and given a revised date. If testing has not begun by April 1, 2027, participants may cancel and receive a full refund of the $500. Voluntary withdrawal follows the non-refundable policy, subject to mandatory statutory rights.

No refund right for delays or feature changes. A delay in the beta kickoff or a change in beta features does not by itself create a refund right.

SYSTIC.Ai may terminate or suspend access for a breach of these Terms, security concerns, unlawful conduct, misuse, or other legitimate operational reasons. Except where required by law or expressly stated above, termination or suspension does not create a right to a refund.

11. User Inputs

"User Input" means information, prompts, files, data, instructions, or other content submitted to the Services.

You retain your rights in User Input, subject to the rights and permissions needed for SYSTIC.Ai to operate, secure, maintain, test, and improve the Services as allowed by applicable law and any separate written agreement.

You represent that you have all rights, permissions, and legal authority necessary to submit User Input and to allow SYSTIC.Ai to process it for the applicable purpose.

You must not submit information that you are prohibited from sharing or that would violate a confidentiality, privacy, employment, regulatory, contractual, or other obligation.

Unless SYSTIC.Ai agrees otherwise in writing, do not submit highly sensitive personal data, protected health information, payment card data, authentication credentials, trade secrets, or other regulated or confidential information.

12. Outputs

"Output" means content, results, responses, recommendations, analysis, code, or other material generated by the Services in response to User Input.

You may use Outputs for your internal business purposes, subject to these Terms and applicable law. Outputs may not be accurate, complete, reliable, original, or suitable for a particular purpose.

You understand that:

AI-generated content may contain errors, omissions, bias, or unsupported conclusions;
Different users may receive similar or identical Outputs;
SYSTIC.Ai does not guarantee that Outputs are unique or protectable by intellectual property law;
You are responsible for reviewing, validating, testing, and obtaining professional advice regarding Outputs before relying on them; and
SYSTIC.Ai does not guarantee that an Output does not infringe a third party's rights.

You are responsible for decisions made using Outputs and for providing appropriate human oversight.

13. Ownership and Intellectual Property

SYSTIC.Ai and its licensors own all rights, title, and interest in and to:

The website and Services;
The SYSTIC.Ai name, brand, logos, and trademarks;
The engine, models, software, APIs, Dashboard/UI, documentation, interfaces, and related technology;
The PROPRIETARY ARCHITECTURAL FRAMEWORK;
Improvements, modifications, and derivative works; and
All materials provided by SYSTIC.Ai, except for User Input and any third-party materials.

These Terms do not transfer ownership of any SYSTIC.Ai technology or intellectual property to you.

You may provide suggestions, comments, feedback, test results, or other information about the Services ("Feedback"). You grant SYSTIC.Ai a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable right to use, reproduce, modify, publish, distribute, and otherwise exploit Feedback for any lawful business purpose without payment or attribution, provided SYSTIC.Ai does not disclose your confidential information in violation of its obligations.

14. Confidentiality and Beta Information

Non-public information about the Services, including credentials, documentation, performance information, security information, model behavior, technical information, roadmap information, and beta features, may be confidential information of SYSTIC.Ai.

You must:

Use confidential information only to exercise rights under these Terms;
Protect it using reasonable care;
Not disclose it to unauthorized persons; and
Notify SYSTIC.Ai promptly of unauthorized access or disclosure.

These confidentiality obligations do not apply to information that you can demonstrate:

Is publicly available through no breach of these Terms;
Was lawfully known to you before disclosure;
Was received lawfully from a third party without a confidentiality obligation; or
Was independently developed without use of the confidential information.

You may disclose confidential information when required by law, provided that, where legally permitted, you give SYSTIC.Ai reasonable advance notice and cooperate in seeking confidential treatment.

15. Acceptable Use and Compliance

You must use the Services responsibly and comply with all applicable laws and regulations, including those concerning privacy, data protection, intellectual property, consumer protection, export controls, sanctions, employment, financial services, education, and regulated industries.

You must not rely on the Services as the sole basis for a decision that could materially affect a person's rights, safety, access to opportunities, or legal position.

If you use the Services in a regulated industry or for a regulated purpose, you are responsible for determining whether the Services are legally appropriate and for implementing required controls, disclosures, reviews, records, and approvals.

16. Privacy

SYSTIC.Ai's collection and use of personal information is described in the SYSTIC.Ai Privacy Policy, available at https://systic.ai/privacy.

The Privacy Policy may describe information collected through the promotional website, waitlist, sign-up process, account creation, beta access, support communications, analytics, and payment process.

By using the Services, you acknowledge that SYSTIC.Ai may process personal information as described in the Privacy Policy and that Stripe may process payment and related information under Stripe's own privacy terms.

17. Third-Party Services and Links

The Services may contain links to or integrations with third-party services, including Stripe. Third-party services are governed by their own terms and policies.

SYSTIC.Ai does not control and is not responsible for third-party services, content, policies, availability, security, or performance. Your use of a third-party service is at your own risk.

18. Marketing Claims and Product Statements

SYSTIC.Ai may describe its product using statements such as "The World's First Superintelligent AI Reasoning Engine." Such statements are marketing claims and must not be interpreted as a guarantee of performance, accuracy, suitability, availability, or commercial success.

SYSTIC.Ai will maintain reasonable substantiation for objective claims it makes in marketing materials and may qualify claims as appropriate. Users must not independently expand, alter, or republish SYSTIC.Ai claims in a misleading way.

The following qualification may appear near the claim:

"SYSTIC.Ai's 'world's first' description is a marketing claim based on SYSTIC.Ai's current understanding of comparable publicly announced systems. The product is in beta development, features and performance may change, and no specific result or availability is guaranteed. The descriptor reflects the engine's cumulative-intelligence architecture as described by SYSTIC.Ai and is subject to SYSTIC.Ai's substantiation, which SYSTIC.Ai maintains and develops."

SYSTIC.Ai may revise this language as its legal and factual substantiation develops.

19. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE, BETA SERVICES, OUTPUTS, DOCUMENTATION, CONTENT, AND ALL RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE."

SYSTIC.Ai DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, QUIET ENJOYMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

SYSTIC.Ai DOES NOT WARRANT THAT:

THE SERVICES WILL MEET YOUR REQUIREMENTS;
THE SERVICES WILL BE AVAILABLE AT ANY PARTICULAR TIME;
OUTPUTS WILL BE ACCURATE, COMPLETE, CURRENT, RELIABLE, OR UNIQUE;
THE SERVICES WILL BE FREE FROM VULNERABILITIES, HARMFUL CODE, OR SECURITY RISKS;
THE BETA PROGRAM WILL START ON January 1, 2027 (target, may shift);
A FULL COMMERCIAL LAUNCH WILL OCCUR; OR
THE SERVICES WILL BE SUITABLE FOR A PARTICULAR INDUSTRY, PURPOSE, OR DECISION.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions apply only to the maximum extent permitted by law.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYSTIC.Ai AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OPPORTUNITY, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYSTIC.Ai'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

The amount you paid directly to SYSTIC.Ai for the Services during the 12 months before the event giving rise to the claim; or
$500.

Because the Founding Beta Reservation Fee is $500, the first amount will generally be $500 unless another written agreement applies.

The limitations in this section do not apply to liability that cannot legally be limited or excluded.

21. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless SYSTIC.Ai and its affiliates, licensors, service providers, officers, directors, employees, and agents from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

Your use or misuse of the Services;
Your User Input;
Your Outputs or decisions based on Outputs;
Your violation of these Terms or applicable law;
Your violation of another person's rights; or
Your failure to obtain required authorization, consent, or permission.

SYSTIC.Ai will provide reasonable notice of an indemnified claim and may participate in its defense. You may not settle a claim in a way that admits fault by or imposes obligations on SYSTIC.Ai without SYSTIC.Ai's prior written consent.

22. Suspension and Termination

SYSTIC.Ai may suspend, restrict, or terminate access to the website or Services if:

You breach these Terms;
Your use creates a security, legal, operational, or reputational risk;
You provide inaccurate or misleading information;
Your account is suspected of unauthorized access;
Your payment is reversed, rejected, or subject to fraud concerns;
Suspension is required by law or a third-party provider; or
SYSTIC.Ai decides to discontinue or materially change the beta program.

You may stop using the Services at any time. You may request account closure by contacting support@systic.ai.

Upon termination or suspension:

Your license to use the Services ends or is suspended;
You must stop using confidential beta information;
You must delete or return SYSTIC.Ai materials when requested;
Accrued rights and obligations remain in effect; and
Sections that by their nature should survive termination will survive, including ownership, confidentiality, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.

Unless required by law or expressly stated in these Terms, termination does not create a right to a refund.

23. Changes to These Terms

SYSTIC.Ai may update these Terms to reflect changes to the Services, law, security practices, or business operations.

For material changes, SYSTIC.Ai may provide notice by posting updated Terms, sending an email, displaying an in-product notice, or using another reasonable method.

The updated Terms will apply on the stated effective date. If you continue to use the Services after that date, you agree to the updated Terms. If you do not agree, you must stop using the Services.

Changes will not retroactively alter rights or obligations unless required by law or agreed in writing.

24. Electronic Acceptance and Notices

Acceptance of these Terms happens in two stages.

Stage 1 - Application-stage acceptance (no payment). The applicant must affirmatively select the checkbox and submit the beta application to accept the Beta Participation Agreement, these Terms of Service, and the Privacy Policy. The checkbox wording is identical across the Beta Participation Agreement, these Terms, and the Two-Stage Consent Block. No payment is required or accepted at application. Submitting an application makes the person an Applicant only: it does not create an Invitation Hold, does not reserve a beta place, and does not create any entitlement to admission. The acceptance box must be unchecked by default and must require an affirmative action.

The application form fields are: Full Name (required), Work Email (required), Company / Institution (optional), Role or Title (optional), Industry (required), Intended Use (required). At application, you may be asked to confirm that:

You have read and agree to these Terms;
You have reviewed the Privacy Policy;
No payment is required to apply and applying does not reserve a place;
The beta Services are pre-release and may change or be unavailable;
There is no service-level commitment; and
You are authorized to accept these Terms for yourself or your organization.

Stage 2 - Approval-stage payment acknowledgment. If your application is approved, SYSTIC.Ai sends an approval packet containing a Stripe payment invitation. Approval creates an Invitation Hold, not a reservation. Before the payment ask, the approval packet and the Stripe checkout must disclose: (a) whether any service membership is required; (b) its costs; (c) plan assignment; (d) subscription and usage terms; and (e) billing start, each as follows: yes, a service plan is required; participants choose the Professional plan or higher, starting at $200 per month; participants select their plan themselves (Professional or higher); separate service terms apply to the selected plan and are accepted explicitly; billing starts when usable service access is available, not at placeholder account creation.

Payment of the one-time, non-recurring $500 Founding Beta Reservation Fee converts the Invitation Hold into a Confirmed Reservation only after SYSTIC.Ai verifies Stripe's server-side payment status and matches it to you as the approved applicant. A pending, failed, or reversed payment does not create a Confirmed Reservation. The Invitation Hold exists only while the applicable invitation and hold terms are met and may lapse under the hold framework: the hold expires 60 days from the approval email, with the exact expiration date and time stated in that email; one reminder is sent on day 45. When a hold expires without verified payment, the capacity returns to the pool without any promise to a particular applicant. A payment in progress at expiry requires review before capacity is released. No promise is made to any particular next applicant. The Confirmed Reservation is subject to the non-refundable position in Section 10 and the Refund Policy.

You agree to receive review-outcome notices, approval packets, payment invitations, payment confirmations, account-setup invitations, beta onboarding, and other transactional, account, payment, security, beta-program, and legal notices electronically through SYSTIC.Ai's transactional sender, support@systic.ai (manual sending initially; an automated sender for the app.systic.ai handoff may be introduced later). You may not opt out of notices required to provide the Services or comply with law.

25. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law rules.

Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Travis County, Texas, and each party consents to the jurisdiction and venue of those courts.

To the maximum extent permitted by law, claims must be brought individually and not as part of a class, collective, consolidated, or representative action.

26. General Terms

These Terms, together with the Privacy Policy, applicable Early Adopter / Beta Participation Agreement, and any additional written terms accepted for a specific Service, form the entire agreement regarding the Services.

If there is a conflict:

A signed agreement specifically addressing the relevant subject controls;
The Beta Participation Agreement controls for the Founding Beta Reservation Fee, beta participation, and enrollment-terms; and
These Terms control for general website and Services use.

If any provision is found unenforceable, the remaining provisions remain in effect and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

You may not assign or transfer these Terms or your account without SYSTIC.Ai's prior written consent. SYSTIC.Ai may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, or similar transaction.

No failure or delay in enforcing a provision waives the right to enforce it later.

These Terms do not create a partnership, joint venture, agency, employment, fiduciary, or franchise relationship.

Headings are for convenience only and do not affect interpretation.
