Beta Participation Agreement

Company: NOVOS PUBLISHING LLC, a Texas limited liability company, with an address at 5900 Balcones Dr STE 100, Austin, TX 78731 ("SYSTIC.Ai," "we," "us," or "our"). Effective date: The date on which the Early Adopter accepts this Agreement and successfully completes the required payment.

"AI Superintelligence Achieved. Introducing the World's First Superintelligent AI Reasoning Engine capable of solving the most difficult of problem sets and powerful enough to complete the most complex tasks via API or Dashboard/UI. Beta Testing scheduled to begin January 1, 2027..."

1. Parties and Purpose

This Early Adopter / Beta Participation Agreement ("Agreement") is between SYSTIC.Ai and the person or organization identified during sign-up ("Early Adopter" or "you").

If you accept this Agreement on behalf of a company, educational institution, scientific institution, or other organization, you represent that you have authority to bind that organization. In that case, "you" includes both the organization and its authorized users.

This Agreement documents your purchase of an early adopter position and your potential participation in SYSTIC.Ai's exclusive beta program. It does not guarantee that the SYSTIC.Ai engine will be generally available, commercially successful, or suitable for any particular purpose.

2. Product and Beta Program

SYSTIC.Ai is developing a pre-release artificial intelligence engine intended to be accessed through an application programming interface ("API") or dashboard/user interface ("Dashboard/UI").

The beta program is scheduled to begin on January 1, 2027 ("Beta Kickoff"). The Beta Kickoff is a planned target and may be changed, delayed, suspended, or cancelled. The date for any full or general commercial launch is TBD and has not been promised.

The January 1, 2027 start date is a target and may shift. A change, delay, or slip in the start date does not create any right to a refund; the refund rules in Section 16.1 are unaffected.

Beta Group A is limited to 100 founding participants. Beta Group A has 100 founding reservations, one reservation per organization. Independent applicants count as their own participant unit. Additional team seats follow separate service-plan terms.

Places are administered under an invitation-hold framework with configurable parameters, to be set by SYSTIC.Ai before any payment invitation is issued:

Allocation: how approved applicants are allocated places as capacity allows. one hold per organization; additional places are not held while a hold is active
Deadline: how long an approved applicant has to complete payment after the invitation is issued. 60 days from the approval email, with the exact expiration date and time stated in that email
Reminders: whether and when payment reminders are sent before expiry. one reminder is sent on day 45 of the hold
Expiry: what happens when a hold lapses without verified payment. When a hold expires without verified payment, the capacity returns to the pool without any promise to a particular applicant. A payment that is in progress when a hold expires requires review before capacity is released.

Capacity release: how released capacity is made available, without naming or promising any particular next applicant. expired or released capacity returns to the pool without any promise to a particular applicant

SYSTIC.Ai reconciles outstanding invitation holds and confirmed reservations so the cohort cannot be oversold. Enrollment moves through three defined states:

Applicant: you have submitted an application. No payment has been made, no place is held, and no reservation exists.
Invitation Hold: your application is approved and an approval packet with a Stripe payment invitation has been issued. Your place is held only while the hold terms are met. An Invitation Hold is not a reservation, is not a Confirmed Reservation, and may lapse under the hold framework. When a hold expires without verified payment, the capacity returns to the pool without any promise to a particular applicant. A payment that is in progress when a hold expires requires review before capacity is released.
Confirmed Reservation: SYSTIC.Ai has verified your payment server-side through Stripe and matched it to you as the approved applicant. Your place is reserved. The Founding Beta Reservation Fee is non-refundable per Section 16.1 and the Refund Policy.

No place is treated as reserved until payment is verified server-side and matched to the approved applicant.

The beta program may include testing, evaluation, feedback, demonstrations, limited access, or other activities selected by SYSTIC.Ai. SYSTIC.Ai may determine which features, models, tools, APIs, interfaces, capacity limits, and use cases are made available.

SYSTIC.Ai may change, remove, restrict, suspend, or discontinue any part of the beta program at any time. Features available during beta testing may not be included in a later commercial version.

3. What the $500 Payment Provides

3.1 One-time payment

The Early Adopter will pay $500 one time through the payment process made available on the SYSTIC.Ai website.

The $500 payment is:

a single, one-time payment;
not a subscription;
not recurring; and
not an authorization for SYSTIC.Ai or Stripe to charge the Early Adopter automatically in the future.

3.2 Confirmed Reservation

Subject to this Agreement, a verified payment of the Founding Beta Reservation Fee, made only after human review and explicit approval through an approval-packet invitation, creates a Confirmed Reservation of the Early Adopter's place in Beta Group A.

A Confirmed Reservation does not guarantee:

access on the Beta Kickoff;
access to every beta feature;
a particular amount of API or Dashboard/UI usage;
uninterrupted access;
access for a particular number of users;
access to any specific model or capability; or
eventual access to a full commercial release.

SYSTIC.Ai may prioritize participants based on business fit, technical readiness, security requirements, capacity, intended use, and other reasonable criteria.

Selection criteria: Applications are prioritized based on the meaningfulness of the problem the applicant wants to solve, industry diversity, and willingness to provide feedback. Selection or priority does not guarantee acceptance, access, or a Confirmed Reservation.

SYSTIC.Ai may invite the Early Adopter to complete additional onboarding, security, technical, or business information before granting beta access.

3.3 Founding Beta Reservation Fee

The $500 payment is a one-time Founding Beta Reservation Fee. It is:

not a service credit;
not applied to any subscription or usage charges;
a single, non-recurring payment;
not an account, license, or service entitlement; and
a fee that funds SYSTIC.Ai's initial research, development, setup, and logistics for the beta program.

A place becomes a Confirmed Reservation only after a verified payment: SYSTIC.Ai confirms payment by checking Stripe's server-side payment status and matching it to the approved applicant. A browser redirect, checkout screen, or email alone does not confirm payment, and a pending, failed, or reversed payment does not create a Confirmed Reservation.

The Founding Beta Reservation Fee does not purchase a service account, beta service access, or any pricing commitment. Service accounts, subscription terms, usage pricing, plan assignment, and the billing start date are presented separately in their own applicable terms before any service billing. billing starts when usable service access is available, not at placeholder account creation

The full launch date remains TBD.

4. Payment Processing

Payments are processed by Stripe or another payment processor selected by SYSTIC.Ai. By submitting payment information, you authorize the applicable payment processor to process the one-time $500 Founding Beta Reservation Fee.

Payment is by invitation only. No payment is required or accepted at application. Payment is requested only after SYSTIC.Ai has completed its human review and issued explicit approval, through an approval packet containing a Stripe payment invitation. SYSTIC.Ai confirms a payment by verifying Stripe's server-side payment status and matching it to the approved applicant; a browser redirect or checkout screen alone does not confirm payment.

You agree to provide accurate billing and contact information and to use a payment method that you are authorized to use. Stripe may process payment information under its own terms and privacy practices.

SYSTIC.Ai does not receive or store complete payment-card numbers when payment is processed through Stripe, except as may be permitted or required by applicable law and the payment processor's systems.

5. Beta Status and No Service-Level Commitment

You understand and agree that the SYSTIC.Ai engine and beta program are experimental, pre-release services.

The beta program:

may contain errors, defects, limitations, or inaccurate outputs;
may be incomplete or unreliable;
may produce unexpected, biased, offensive, or incorrect results;
may change without notice;
may experience downtime, latency, outages, maintenance, or interruptions;
may have usage, capacity, security, or geographic restrictions;
may be suspended or discontinued; and
is provided without any service-level agreement, uptime commitment, support commitment, response-time commitment, or other service-level commitment.

SYSTIC.Ai does not promise that the beta program will meet your requirements, achieve a particular result, remain available, or become a commercial product.

6. AI Output and Responsibility for Use

SYSTIC.Ai outputs are generated by an artificial intelligence system and must be independently reviewed before use.

You are solely responsible for evaluating outputs and deciding whether, how, and where to use them. You will not rely on beta outputs as a substitute for qualified professional judgment, including legal, medical, financial, scientific, engineering, educational, safety, compliance, or other professional advice.

You will not use the beta program as the sole basis for:

financial, investment, lending, insurance, employment, housing, education, healthcare, legal, or safety-critical decisions;
decisions affecting a person's legal rights, access to essential services, or physical safety; or
automated actions that could cause material harm without appropriate human review and controls.

You are responsible for implementing appropriate human oversight, testing, validation, security controls, and compliance procedures for your intended use.

7. Proprietary Architectural Framework

You acknowledge that the SYSTIC.Ai engine was built using a PROPRIETARY ARCHITECTURAL FRAMEWORK that has not been disclosed publicly.

SYSTIC.Ai may reveal information about that framework later in a separate white paper or other communication. Any such disclosure is entirely at SYSTIC.Ai's discretion.

This Agreement:

does not require SYSTIC.Ai to disclose the framework;
does not require SYSTIC.Ai to publish a white paper;
does not require SYSTIC.Ai to disclose source code, system design, model weights, methods, algorithms, training information, security controls, or technical documentation; and
does not grant you any ownership or license in the framework or related trade secrets.

You will not attempt to reverse engineer, extract, discover, reconstruct, or otherwise identify the proprietary architecture, source code, model weights, system prompts, hidden instructions, or other non-public technical elements of the SYSTIC.Ai engine.

8. Confidentiality and Beta Information

During the beta program, you may receive or observe non-public information about SYSTIC.Ai, including features, performance, results, documentation, pricing, security information, product plans, technical information, and the proprietary architectural framework ("Confidential Information").

You will:

use Confidential Information only to participate in or evaluate the beta program;
protect Confidential Information using reasonable care;
not disclose Confidential Information to any third party without SYSTIC.Ai's prior written consent;
not publish benchmarks, screenshots, recordings, demonstrations, or reviews of the beta program without SYSTIC.Ai's prior written consent; and
limit access to authorized users who are bound by confidentiality obligations at least as protective as this Agreement.

Confidential Information does not include information that you can demonstrate:

is or becomes public through no breach of this Agreement;
was lawfully known to you before disclosure by SYSTIC.Ai;
is received lawfully from a third party without a confidentiality obligation; or
is independently developed without use of Confidential Information.

If disclosure is required by law, you may disclose only the portion legally required and, where legally permitted, provide SYSTIC.Ai with reasonable advance notice.

9. Acceptable Use

You will not, and will not permit any other person to:

use the beta program in violation of applicable law or regulation;
use the beta program to develop or train a competing general-purpose AI system, except with SYSTIC.Ai's written permission;
copy, modify, distribute, sell, sublicense, lease, or commercially exploit the beta program except as expressly permitted;
reverse engineer, decompile, disassemble, or attempt to derive the source code, model weights, architecture, or underlying methods;
bypass usage limits, security controls, access controls, or authentication measures;
probe, scan, or test the beta program for vulnerabilities without written authorization;
interfere with or disrupt the beta program or its infrastructure;
submit malware, malicious code, or unlawful material;
submit personal information, confidential information, regulated information, or sensitive data unless SYSTIC.Ai has expressly approved that use in writing;
use the beta program to make decisions that unlawfully discriminate against individuals or groups;
misrepresent beta outputs as human-generated, verified, or endorsed by SYSTIC.Ai;
use beta outputs or content to infringe, violate, or misappropriate another person's rights; or
share account credentials or permit unauthorized access.

SYSTIC.Ai may monitor use of the beta program for security, abuse prevention, support, product improvement, and compliance purposes, subject to applicable law and the Privacy Policy.

10. Your Content and Feedback

"You Content" means prompts, inputs, files, data, materials, or other content that you submit to the beta program.

You represent that you have all rights and permissions needed to submit Your Content and permit SYSTIC.Ai to process it as necessary to provide, secure, maintain, and improve the beta program.

You will not submit personal information, confidential information, trade secrets, protected health information, payment-card data, or other regulated or sensitive information unless SYSTIC.Ai has approved that use in writing and the applicable parties have entered into any required additional agreement.

You retain your rights in Your Content. You grant SYSTIC.Ai a limited, non-exclusive, worldwide, royalty-free license to host, reproduce, process, transmit, and display Your Content as needed to provide and operate the beta program, protect the service, prevent misuse, comply with law, and perform the purposes disclosed in the Privacy Policy.

You may provide suggestions, comments, evaluations, or other feedback about SYSTIC.Ai ("Feedback"). You grant SYSTIC.Ai the right to use Feedback without restriction or payment, provided that SYSTIC.Ai does not publicly identify you as the source of Feedback without your consent, unless you separately agree to be identified.

11. Intellectual Property

SYSTIC.Ai and its licensors own all rights, title, and interest in and to:

the SYSTIC.Ai name, trademarks, logos, and branding;
the beta program;
the API, Dashboard/UI, software, models, systems, documentation, and technology;
the proprietary architectural framework;
SYSTIC.Ai's Confidential Information; and
all improvements, modifications, and derivative works of the foregoing.

Except for the limited right to access and use the beta program as expressly permitted by SYSTIC.Ai, no rights are granted to you by implication, estoppel, or otherwise.

You may not use SYSTIC.Ai's name, trademarks, logos, or marketing materials without prior written permission.

12. Privacy

SYSTIC.Ai may collect and process information provided during sign-up, including contact information, organization information, account information, communications, payment-related information, usage information, and technical information.

Stripe processes payment information in accordance with its own terms and privacy practices. SYSTIC.Ai's collection and use of personal information are described in the SYSTIC.Ai Privacy Policy, available at https://systic.ai/privacy.

By accepting this Agreement, you acknowledge that you have reviewed the Privacy Policy and consent to the processing described in it to the extent consent is required by applicable law.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE BETA PROGRAM, SYSTIC.AI ENGINE, API, DASHBOARD/UI, OUTPUTS, DOCUMENTATION, AND RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE."

SYSTIC.AI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

MERCHANTABILITY;
FITNESS FOR A PARTICULAR PURPOSE;
TITLE;
NON-INFRINGEMENT;
ACCURACY;
RELIABILITY;
AVAILABILITY;
SECURITY;
UNINTERRUPTED OPERATION; AND
RESULTS OR PERFORMANCE.

SYSTIC.AI DOES NOT WARRANT THAT THE BETA PROGRAM WILL BE ERROR-FREE, SECURE, AVAILABLE AT ANY PARTICULAR TIME, OR SUITABLE FOR YOUR USE.

Some jurisdictions do not permit certain warranty exclusions. Those exclusions will apply only to the extent permitted by applicable law.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYSTIC.AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE BETA PROGRAM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYSTIC.AI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE BETA PROGRAM WILL NOT EXCEED THE GREATER OF:

THE $500 PAYMENT ACTUALLY PAID BY YOU TO SYSTIC.AI UNDER THIS AGREEMENT; OR
THE AMOUNT YOU PAID TO SYSTIC.AI FOR THE BETA PROGRAM DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

The limitations in this section do not apply to liability that cannot legally be limited or excluded.

15. Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless SYSTIC.Ai and its officers, directors, employees, contractors, affiliates, licensors, and service providers from claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

Your Content;
your or your users' use of the beta program;
your breach of this Agreement;
your violation of applicable law or another person's rights; or
your failure to obtain required permissions or consents.

SYSTIC.Ai will promptly notify you of any indemnified claim and may participate in its defense. You may not settle an indemnified claim in a way that imposes liability, admission, or obligations on SYSTIC.Ai without SYSTIC.Ai's written consent.

16. Refunds and Termination

16.1 Refund position

The one-time, non-recurring $500 Founding Beta Reservation Fee is non-refundable, subject to mandatory statutory rights and the company cancellation/delay/refund-exception policy, as follows:

The fee applies to a Confirmed Reservation (verified payment matched to the approved applicant). It does not apply to an unpaid Invitation Hold, which is not a reservation and involves no payment.
The fee is not a service credit and is not applied to subscription or usage charges.
Statutory carve-out: Nothing in this Agreement limits any refund, cancellation, or withdrawal right that cannot legally be excluded under applicable law. Where applicable law provides a greater right, that law controls.
Company cancellation, delay, and refund exceptions: If SYSTIC.Ai cancels the beta before testing begins, the full $500 is refunded. If testing is delayed, participants are notified and given a revised date. If testing has not begun by April 1, 2027, participants may cancel and receive a full refund of the $500. Voluntary withdrawal follows the non-refundable policy, subject to mandatory statutory rights.
Any approved refund will be returned to the original payment method where reasonably practicable.
The complete refund position is stated in the SYSTIC.Ai Founding Beta Reservation Fee Refund Policy, which forms part of this Agreement by reference.

Legacy transition: Some earlier purchasers paid under a prior public offer that described the $500 as a credit toward a first year, valid through December 31, 2027, refundable if unused by that date. Those purchases remain governed by the terms in force at the time of purchase; that legacy description is intentional and is not superseded by this Section. Purchasers under the current offer are governed by the non-refundable Founding Beta Reservation Fee position in Section 16.1 and the Refund Policy.

16.2 Termination by SYSTIC.Ai

SYSTIC.Ai may suspend or terminate this Agreement, your account, your beta access, your Invitation Hold, or your Confirmed Reservation at any time if:

you breach this Agreement;
your use presents a security, legal, operational, or reputational risk;
you provide inaccurate or incomplete information;
SYSTIC.Ai discontinues or materially changes the beta program;
SYSTIC.Ai is required to do so by law; or
SYSTIC.Ai determines that termination is reasonably necessary to protect the beta program or its users.

16.3 Effect of termination

When this Agreement ends:

your right to access and use the beta program ends;
you must stop using the beta program;
you must return or delete SYSTIC.Ai Confidential Information upon request, subject to lawful retention requirements;
accrued payment obligations and provisions that by their nature should survive termination will continue (including Section 16.1, as applicable); and
Sections concerning confidentiality, intellectual property, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution will survive.

17. Electronic Acceptance

Acceptance of this Agreement happens in two stages.

Stage 1 - Application-stage acceptance (no payment)

You accept this Agreement, the Terms of Service, and the Privacy Policy at the time you submit your beta application, by:

reviewing or being provided access to this Agreement, the Terms of Service, and the Privacy Policy;
selecting or checking an acceptance box stating that you agree to them; and
submitting the application form (fields: Full Name (required), Work Email (required), Company / Institution (optional), Role or Title (optional), Industry (required), Intended Use (required)).

No payment is required or accepted at application. Submitting an application makes you an Applicant only. It does not create an Invitation Hold, does not reserve a beta place, and does not create any entitlement to admission.

The acceptance box must be unchecked by default and must require an affirmative action. A failure to act, continued browsing, or merely visiting the website does not constitute acceptance.

Stage 2 - Approval-stage payment acknowledgment (by invitation)

If SYSTIC.Ai approves your application, it will send an approval packet containing a Stripe payment invitation. Approval creates an Invitation Hold, not a reservation. Payment of the one-time, non-recurring $500 Founding Beta Reservation Fee converts the Invitation Hold into a Confirmed Reservation, subject to:

payment being made through the invitation before its expiry;
SYSTIC.Ai verifying Stripe's server-side payment status and matching it to the approved applicant; and
successful payment confirmation. A pending, failed, or reversed payment does not create a Confirmed Reservation.

The Invitation Hold exists only while the applicable hold terms are met and may lapse under the hold framework (allocation, deadline, reminders, expiry, in-progress payments, and capacity release) set out in Section 2. 60-day hold; exact expiration date and time per approval email; one hold per organization; one reminder on day 45; expired capacity returns to the pool; in-progress payments reviewed before release

Records, evidence, and electronic communications

Your electronic acceptance has the same legal effect as a handwritten signature. SYSTIC.Ai may retain records of the version of each document presented, your acceptance, the date and time of acceptance, application details, review-outcome records, the approval packet, payment-invitation issuance, and verified payment confirmation.

Notices relating to review outcomes, approval packets, payment invitations, payment confirmations, account setup, and beta onboarding are sent electronically by SYSTIC.Ai's transactional sender. support@systic.ai (manual sending initially; an automated sender for the app.systic.ai handoff may be introduced later) You consent to receive these notices electronically at the email address you provide. You may not opt out of notices required to provide the beta program or comply with law.

The application-stage acceptance and approval-stage payment acknowledgment use the same stage labels and defined terms as Section 17 of the Terms of Service and the Two-Stage Consent Block. The payment disclosures must appear before the payment ask.

Stage 1 - Application-stage acceptance (no payment) [ ] I have read and agree to the Beta Participation Agreement, the Terms of Service, and the Privacy Policy. I consent to processing as described in the Privacy Policy. No payment is required to apply. Submitting an application makes me an Applicant only: it does not create an Invitation Hold, does not reserve a beta place, and does not authorize a charge. Stage 2 - Approval-stage payment acknowledgment (approval packet and Stripe checkout) Before you pay, the approval packet and checkout disclose whether service membership is required, its costs, plan assignment, subscription and usage terms, and billing start: yes, a service plan is required; participants choose the Professional plan or higher, starting at $200 per month; participants select their plan themselves (Professional or higher); separate service terms apply to the selected plan and are accepted explicitly; billing starts when usable service access is available, not at placeholder account creation. One-time, non-recurring $500 Founding Beta Reservation Fee. Payable by invitation only after approval. Approval creates an Invitation Hold, not a reservation. Payment converts it into a Confirmed Reservation only after server-side Stripe verification matched to the approved applicant. Non-refundable, subject to mandatory statutory rights and the Company Cancellation, Delay, and Refund-Exception Policy: If SYSTIC.Ai cancels the beta before testing begins, the full $500 is refunded. If testing is delayed, participants are notified and given a revised date. If testing has not begun by April 1, 2027, participants may cancel and receive a full refund of the $500. Voluntary withdrawal follows the non-refundable policy, subject to mandatory statutory rights. Not a service credit and not applied to subscription or usage charges. A Confirmed Reservation is in Beta Group A, limited to 100 founding reservations, one reservation per organization; independent applicants count as their own participant unit; additional team seats follow separate service-plan terms. Testing is scheduled to begin January 1, 2027 (target, may shift). No payment is required to apply. An Invitation Hold is unpaid, not a reservation, and may lapse under the hold framework: when a hold expires without verified payment, the capacity returns to the pool without any promise to a particular applicant; a payment already in processing requires review before capacity is released. No place is promised to any particular next applicant.

If the Early Adopter is accepting on behalf of an organization, the person completing the acceptance also confirms that they have authority to bind that organization. The checkbox wording, stage labels, and document references in this Section are identical to the Terms of Service acceptance section and the Two-Stage Consent Block.

18. Changes to This Agreement

SYSTIC.Ai may update this Agreement for future participants by posting a revised version on the website or providing notice through reasonable means.

No change will retroactively reduce rights or increase obligations relating to a payment already made unless:

required by law;
necessary to address a security, fraud, or compliance issue; or
separately accepted by the Early Adopter.

The version accepted by the Early Adopter will govern the applicable payment and beta participation, subject to permitted updates.

19. Governing Law and Disputes

This Agreement will be governed by the laws of the State of Texas, United States, without regard to conflict-of-law rules.

Any dispute arising out of or relating to this Agreement will be brought exclusively in the state or federal courts located in Travis County, Texas, and each party consents to the jurisdiction and venue of those courts.

20. General Terms

This Agreement, together with the Privacy Policy and any additional written terms expressly incorporated by SYSTIC.Ai, is the entire agreement concerning the early adopter payment and beta participation.

If a conflict exists between this Agreement and a separate written agreement signed by SYSTIC.Ai, the separate written agreement controls only for the subject it specifically addresses.

You may not assign or transfer this Agreement or your reserved position without SYSTIC.Ai's prior written consent. SYSTIC.Ai may assign this Agreement in connection with a merger, acquisition, reorganization, sale of assets, or transfer of the applicable business.

If a provision is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect.

A party's failure to enforce a provision is not a waiver of its right to enforce that provision later.

This Agreement does not create a partnership, joint venture, employment relationship, agency relationship, franchise, or fiduciary relationship.

Nothing in this Agreement requires SYSTIC.Ai to disclose its proprietary architectural framework, launch a full commercial product, provide beta access, or offer any particular feature, service, pricing, or launch date.
